BY-LAWS OF THE
KENNERSLEY YACHT CLUB
ARTICLE I
Name and Burgee
Section 1 The name of the Club shall be the Kennersley Yacht Club.
Section 2 The Club’s burgee shall be triangular in shape, having a white background with a blue arrow piercing the flag, broken by a red anchor.
ARTICLE II
Object
Section 1 The object of the Club shall be to encourage the sport of yachting, to promote the science of proper seamanship and navigation, and to establish an atmosphere of good fellowship.
ARTICLE III
Officers
Section 1 The officers of the Club shall be the Commodore, Vice-Commodore, Rear-Commodore, Fleet Captain, Secretary and Treasurer. The first four named officers shall be elected from and by the membership in good standing at the Annual Meeting, for a term of one year. At the end of their term, if so nominated, they shall be eligible for (a) re-election to their respective offices for a further one-year term, or (b) election to any other office. In no case shall any of these four serve more than two consecutive years in the same office. The Secretary and Treasurer shall be appointed by the Board of Governors.
Section 2 Any officer may be removed from office prior to the end of that officer’s term, if the membership expresses such a desire. A special meeting shall be required for such a purpose and removal shall be accomplished through a vote for removal by two-thirds of the Club’s eligible voters.
ARTICLE IV
Duties of Officers
Section 1 It shall be the duty of the Commodore to take command of the fleet, and to preside at all meetings of the Club and the Board of Governors. The Commodore shall have the entire supervision of the Club and its property, and shall have the power, pending action of the Board of Governors, to suspend a member for violation of the by-laws, rules or regulations of the Club. The Commodore shall be a member of all Committees, with the privilege of voting, except the nomination committee and shall, subject to the approval of the Board of Governors, appoint a Fleet Captain, and the Chairman of the Committees, as may, from time to time be found necessary. The Commodore, with the Secretary, shall sign all contracts, and other obligations of the Club; and, with the Treasurer, sign all vouchers, all subject to the Board of Governors unless specifically exempted.
Section 2 It shall be the duty of the Vice-Commodore to assist the Commodore in the discharge of the Commodore’s duties and, in the absence of the Commodore, to officiate in the Commodore’s stead. Additional specific duties will be assigned to the Vice-Commodore by the Commodore.
Section 3 It shall be the duty of the Rear-Commodore to assist the Commodore and Vice-Commodore in the discharge of their duties, and their absence, to officiate in their stead. Additional specific duties will be assigned to the Rear-Commodore by the Commodore.
Section 4 The Fleet-Captain shall be responsible for the organization and direction of the cruises and other fleet activities under the auspices of the Club. Subject to the approval of the Board of Governors, the Fleet-Captain shall select a committee to advise on all cruises, and shall appoint assistants for each scheduled activity.
Section 5 The Treasurer shall have charge of all the funds of the Club and shall keep records of receipts and disbursements, receiving all monies collected for the Club by any agent of the Club, giving receipts therefore, and shall render a report at all regular meetings of the Club and the Board of Governors.
Section 6 It shall be the duty of the Secretary to keep the minutes of the meetings of the Club and of the Board of Governors; to maintain a complete book of rules and regulations, to have custody of all reports and documents connected with the Club, and to keep a correct roll of members, together with dates of their election.
The Secretary shall receive all proposals for membership, together with the initiation fee and first year dues, and shall notify the members-elect of their election. When members-elect have complied with the reulations for admission, the Secretary shall furnish them with a membership card.
The Secretary shall issue notice of the Club dues payable no later than March 1st of each year to keep all members of record. The Secretary shall receive and keep accurate record of dues payments from each member, and shall transmit all monies to the Treasurer. The Secretary shall report to the membership committee all members delinquent in due payment as of May 15th of each year, and shall, with notice to the membership committee, delete from the roster of members in good standing all members delinquent in dues payment.
The Secretary shall further conduct the correspondence of the Club and prepare for issue notice of all meetings of the Club and Board of Governors.
ARTICLE V
Affairs of the Club
Section 1 The affairs of the Club shall be manage by the Board of Governors, consisting of the current Officers, and Past-Commodores. The Officers and immediate Past-Commodores shall be voting members of the Board. All other Past-Commodores shall retain a non-voting membership on the Board. The Board shall have the power by majority vote to fill any vacancy, which may occur in its membership.
Section 2 A majority of voting members of the Board shall be sufficient to constitute a quorum to transact the business of Club at any meetings of the Board.
Section 3 The Board shall at all times have the power to suspend or expel any member for good cause shown, after written charges have been preferred, and a reasonable opportunity given the member to present a defense. The Board shall have the right to reconsider the expulsion or suspension of any member for any cause at any time, and may, by a majority of the voting Board-members, reinstate such member on such terms and conditions as the Board may prescribe.
Section 4 The Board of Governors shall hold their regular meeting at such times and places as a majority thereof elect. Special meetings of the Board may be called at any time by the Commodore, or at the request of three members of the Board. Notice of special meetings shall be advertised at least seven days in advance to all board members, and shall state the time and place of the meeting.
Section 5 The Board shall have the power to adopt such rules and regulations governing the Club and its members as may be found necessary from time to time, not in conflict with these by-laws. Then adopted these rules and regulations shall have the same force and effect as if herein contained. Rules and regulations adopted by the board shall be recorded by the Secretary in the Rules Book in addition to the regular minutes book.
Section 6 The Board may create any additional committees, or reduce the number of existing committees, when, and as often is required for the best interest of the Club, in the judgment of the Board.
Section 7 The Commodore, or Vice-Commodore, or Rear-Commodore and Secretary shall execute all papers required to be executed by the Club when authorized to do so by the Board of Governors.
ARTICLE VI
Membership
Section 1 The membership shall consist of the following classes”

- Life Members
Section 2 Members: Any adult person of 18 years of older, of good moral character, and being the owner of a boat, who shall agree to abide by the Club’s By-Laws, rules and regulations as now in force or later amended and who shall pay the required fees and dues, shall be eligible for election to membership.
Membership shall be extended to the mate of an elected member, without the requirement of an additional entrance fee and annual dues, for as long as the elected member is in good standing, subject to the approval of the Board of Governors. Each shall be considered a full member with equal rights and shall be issued a membership card. However, in all matters requiring a vote only one vote on each matter shall be cast by either the elected member or the member mate, with the elected member having the preference in any conflict.
“For the purpose of voting, a vessel is defined as the primary living
Quarters of an elected ember (and family, if any) while berthed a the
home base of the Club.” Runabouts associated with larger vessels shall
not be considered as vessels.
Section 3 Honorary Members: The Board of Governors, by a vote of two-thirds of its boting members, may elect, on an annual basis, such persons “Honorary Members” as it may deem to have rendered important service or benefits to the Club. Honorary Members shall be entitled to all privileges of the Club except voting and holding office. All Honorary Members shall be reviewed at the end of each membership year by the Board of Governors.
Section 4 Life Members: All individual members who have maintained 25 years of continuous membership shall be given life membership, with membership cards so indicating.
Life Membership may be purchased by a member for a sum equivalent to 35 times the current annual dues.
Any other individual whose contribution to the Club in the opinion of the Board of Governors, merit such distinction, may be considered for life membership. A favorable vote by two thirds of the Club voting membership shall be required before life membership may be conferred on any such individual.
Section 5 The election of members shall be by the Board of Governors at any meeting at which shall be a quorum. At the request of any one member of the Board the vote shall be by secret ballot. Two negative ballots shall reject such applicant. No rejected applicant shall be proposed again within on year thereafter.
ARTICLE VII
Entrance Fee and Dues
Section 1 The entrance fee shall be fixed by the Board of Governors and will normally be one and a half times the annual membership dues.
Section 2 Dues shall be set annually by the Board of Governors prior to the beginning of the membership year, which shall be from May 1st to April 30th. Dues for the applicants accepted after November 1st will be reduced for the balance of the membership year on a prorated monthly basis.
ARTICLE VIII
Committees
Section 1 All committees shall consist of a Chairman and such additional members as necessary, to be appointed by the Commodore, unless otherwise specified, and confirmed by the Board of Governors. The committee will proceed to expedite its duties in completion of its established purpose and to advise the Board of Governors of its accomplishment.
ARTICLE IX
Fixed Committees
Section 1 The Membership Committee – shall consist of a Chairman and such additional members as necessary as outlined in Article VIII, Section 1, and shall report directly to the Board of Governors. The Membership Committee shall be chaired by the immediate Past-Commodore and be confirmed by the Board of Governors.
Section 2 The Entertainment Committee – shall consist of a Chairman and such additional members as necessary as outlined in Article VIII, Section 1, and shall report directly to the Board of Governors. It shall be the duty of the Entertainment Committee to provide and schedule all entertainment and render the Board of Governors a prompt financial report on each affair.
Section 3 The Nominating Committee – shall consist of three members; initially (1) the immediate Past-Commodore, (2) one member elected by the Club membership, at the annual meeting, for a one-year term and (3) one member elected for a two-year term. Thereafter, one member shall be elected each year for a two-year term. It shall be the duty of the Nominating Committee to seek the advise of membership in selecting candidates for each office, to advertise their selections at least four weeks prior to the annual meeting, and to provide the Secretary with a list of nominees. Additional candidates will be nominated for election only by petition of ten members filed with the Secretary at least ten days prior to the annual meeting. No candidate shall be considered for election unless such candidate shall have agreed to serve.
Section 4 The By-Laws Committee – shall consist of a Chairman and such additional members as may be necessary as outlined in Article VIII, Section 1. It shall be the duty of the By-Laws Committee to review the by-Laws and to suggest their updating or revision as necessary to meet the needs and desires of the membership. Any suggested amendments or additions shall require a favorable vote by two-thirds of the Club’s eligible voters before being incorporated in the By-Laws.
ARTICLE X
Meetings
Section 1 The annual meeting of the Club shall be held on the last Saturday in September. It shall be held for the election of Officers and others, and for the transaction of such business as may properly come before the meeting. The Officers and others elected shall take office on November 1st. Those eligible voting members present at the annual meeting shall be sufficient to constitute a quorum to transact any business of the annual meeting, except for those matters requiring a greater number as specified elsewhere in the By-Laws.
Section 2 Special Meetings- may be called by the Commodore at any time and shall be called by him at the written request of ten or more members, provided the business of the meeting is stated in the notification. At all such meetings, a quorum being present, only special business may be considered for which the meeting was called. There shall be a notice of such special meetings advertised at least seven days in advance. A majority of the eligible voting members of the Club shall be sufficient to constitute a quorum to transact the business of the special meeting, unless such business requires a greater number, as specified elsewhere in these By-Laws.
Section 3 Club Meetings – only members in good standing may vote at any Club Meeting, and all voting must be done in person.
Section 4 Order of Business – at all meetings a quorum being present, the order of business shall be as follows:

- Bills and Communications
- Committee Reports
- Nominations
- Elections
- Unfinished Business
- New Business
- Adjournment
The order of business may be changed at any meeting by a vote of the majority of those present.
